Suzlon to list REpower on LSE this year: Sources…

Suzlon to list REpower on LSE this year: Sources…

Debt-ridden  Suzlon Energy is looking to list its 100 percent owned German subsidiary REpower on the London Stock Exchange this year. IPO size is likely to be around USD 600-750 million, with Suzlon diluting 40-50 percent of its total stake.

This pegs REpower’s expected valuation at USD 1.2 billion. Sources say Suzlon Energy will use the proceeds from the IPO to repay German banks and domestic lenders. REpower owes as much as 750 million euros to German banks, who have ring-fenced the company’s finances.

This has been Suzlon’s biggest challenge as the wind turbine maker is unable to access the Germany subsidiary’s cash reserved to repay its debt. Suzlon's total debt stands at Rs 14,155 crore, of this, Rs 9500 crore is getting restructured under the Corporate Debt Restructuring (CDR) cell.

The company had repaid its first tranche of FCCBs worth USD 360 million in July 2012. It is understood that the company is now looking to settle another USD 500 million worth FCCBs with the bondholders.

Suzlon has been reporting losses for the past 3 years Suzlon Energy had acquired REpower in 2007 for Rs 8000 crore.

The German subsidiary accounts for nearly 40 percent of Suzlon’s total order book of USD 7.1 billon. Key bankers like SBI had earlier suggested that the company merge REpower with itself to reduce debt.

Suzlon up on talks with FCCB holders...

Suzlon up on talks with FCCB holders...

Suzlon Energy’s shares rose as much as 6.5 per cent on Tuesday and closed at Rs 11.69 on the BSE, after reports of the company reaching a settlement with bondholders over its 2012 default.

“We will reach a settlement with the foreign currency convertible bond (FCCB) debtors in the next two to three days,” said a person close to the development, on condition of anonymity. The company had defaulted on a $200-million FCCB bond payment in late 2012. The wind energy turbine maker later had its debt of Rs 9,000 crore restructured.

Suzlon refused to comment on the development. The contours of the likely settlement are unclear. The total payment to FCCB debtors, including future payments, could be up to $500 million and a settlement for the entire amount might be done at one go.

“This proposed agreement with FCCB holders indicates that the deep financial recast package is working. The turnaround is happening but much business expansion depends on the economic conditions in target markets — Europe and North America,” said a senior State Bank of India executive. State Bank of India is the lead banker to Suzlon.

Suzlon has been facing many headwinds like slowdown in the power equipment market, both globally and in India where domestic construction activity has come to a stand-still in the last two years. Added to this, Suzlon had acquired German equipment company REpower. In spite of acquiring the entire company, tough German laws had restricted the company from transferring the free cash in the company, leading to more troubles.

Suzlon Energy to quadruple the sales volume during 2013-14...

Suzlon Energy to quadruple the sales volume during 2013-14...

Suzlon Energy expects to almost quadruple its sales volume in 2013-14 by delivering wind turbines to generate 900-1,000 mw, compared with just 250 mw of equipment supplied last year.

"We believe the worst is over and that we are moving in the right direction, with a more positive external environment. We hope to have the company back in a position of strength by FY15," chairman Tulsi Tanti said.

Tanti, who was rated as the eight richest Indian in 2005 on the Forbes list of Richest Indians, built Suzlon from scratch into the country's largest maker of wind turbines in less than a decade.

He made big-ticket acquisitions, such as of German REpower Systems, to fuel his global ambitions, in the process accumulating debt of Rs 14,000 crore — almost six times its current market capitalisation. The burden of debt, coupled with a slowdown in the industry, pushed Suzlon into losses and eroded the wealth of Tanti.

These concerns have weighed on Suzlon's shares, which are down almost 47% from their year-earlier levels, even as the Bombay Stock Exchange's Sensex gained 8%. However, helped by a recent improvement in order execution and new orders, the shares have gained almost 70% since August, when they touched a 52-week low of Rs 5.76, to Rs 9.73 Thursday.

Suzlon sees better times ahead driven by its debt recast that is underway and early signs of a recovery in the global wind-energy market. Tanti is geared up for the new innings. "I am a fighter. I will not give up," he said. "Last two years, our entire focus was on liability management.

Now that we have completed the process, we are focusing on increasing execution and improving operational performance." Suzlon reported a loss of Rs 4,700 crore for the fiscal year ended in March 2013. The company's expectations of a turnaround are based on its strong order book — at the end of October, it had orders for 5.1 gigawatts, worth about Rs 43,834 crore and giving revenue visibility for two years. Also, in January this year, a consortium of 19 banks, led by State Bank of India, inducted Suzlon into a corporate debt-restructuring (CDR) programme for recasting Rs 9,500 crore of loans.

This has given the company a twoyear moratorium on principal and interest payments and additional working capital limit that would improve its cash position and drive order execution. Tanti said Suzlon expects India to add about 1,800 mw of wind-energy capacity in this fiscal year, aided by the government's policy on providing cash incentives to companies based on the actual power they generate, and push for wind projects in states.

"At the Suzlon level, with adequate working capital facilities, we should be in a position to achieve 500-600 mw from India, and 300-400 mw internationally," Tanti said, explaining his projection to sell 900, 1,000 mw of turbines this fiscal year. Analysts said the company has delivered projects totalling 440 mw in the first half of the financial year and is seeing a sustained pickup in project execution.

"We have added new products such as the 3 mw turbines and entered new geographies," Tanti said. "Also, the most important development is that some of the matured markets, where capacity addition had slowed, are now looking at wind energy again. The US, Canada and Germany are again upbeat about wind energy and they would award big-ticket orders," Tanti said.

REPower, Suzlon Group company, to unveil its new offshore wind turbine 6.2M152...

REPower unviels new offshore turbine

At EWEA offshore 2013, the Suzlon Group - the world's fifth largest wind turbine manufacturer - will unveil its new offshore turbine, the REpower 6.2M152.

With the new offering, the company once again sets standards in the cost-effective generation of offshore wind energy.

Some of the features as highlighted by the company are:

  • Bigger rotor increases energy yield by 20%
  • Rater power of 6.15 megawatts and a rotor diameter of 152 meters
  • Prototype scheduled for installation in 2014

The new turbine features a rotor diameter of 152 meters, with the rotors sweeping an area larger than three football pitches. The nacelle alone is as big as two detached houses and will be constructed offshore at a height of between 95 and 11 meters.

The larger rotor diameter compared to the last generation - the REpower 6.2M126 (126 meters) - achieves an increase in energy yield by 20 per cent at wind speeds of 9.5 m/s. With a rater power of 6.15 megawatts, each REpower 6.2M152 turbine can supply around 4,000 homes with electricity.

Andres Nauen, CEO of REpower Systems Se, said: "We are the only manufacturer to have already installed more than 100 offshore turbines in the multi-megawatt class. With an eye on the outstanding availability and energy yield of the REpower 6.2M126, we have enhanced this robust, proven concept: the bigger rotor and correspondingly larger drive train of REpower, 6.2M152 combined with tried-and-tested, first class technology enables our customers to generate energy even more cost-efficiently on the high seas."

The Hamburg-based company has already sold the prototype REpower 6.2M152. Together with the customer, it has been agreed to construct the prototype with a hub height of 124 meters at an onshore site in northern Germany, with construction scheduled for completion by the end of 2014. From 2015, REpower 6.2M152 will enter commercial production. REpower already manufactures the world's most powerful commercially-produced offshore turbine. Since introducing its multi-megawatt offshore turbines ten years ago, REpower has constructed more than 100 turbines of this platform.

Suzlon's internation arm REPower renamed as Senvion...

REPower renamed as Senvion

Suzlon Energy has renamed its German subsidiary REpower Systems as Senvion with effect from 2014, the wind turbine maker said Thursday.

REpower has been using its name under licence since 2001. The rights belong to a Swiss company that is now using this name itself. Therefore the external corporate design will be gradually changed, the company said in a press release.

"In addition to having unique products and services, we will also be the only company with this name. As Senvion we will continue along our path as a strong brand and remain an innovative company in the wind energy industry," Andreas Nauen, chief executive officer of REpower Systems SE, was quoted as saying in the release.

The Tulsi Tanti-promoted wind turbine maker, which has been severely hit by the double whammy of huge debt and slowdown in business, piled up Rs 14,000 crore in debt and has reported losses for the past three years. The company recently received approval to recast debt totalling Rs 9,500 crore under the Corporate Debt Restructuring programme that gives the company a two-year moratorium on principal and interest payments and additional working capital limit that would improve the company's cash position and drive execution.

Suzlon has identified non-critical arms like SE Forge, SE Electricals and its China manufacturing units to for stake sale or complete sell-out. Although some of its bankers are believed to have demanded a stake sale in its German Subsidiary, REpower Systems, the company has repeatedly denied any plan citing it is a 'jewel in the crown' and critical for company's growth.

Suzlon counts on REpower to repay $566 million foreign bonds…

Update by Economic Times on Suzlon’s FCCB payment…

Life has come a full circle for Suzlon Energy. Riding on chairman Tulsi Tanti's insatiable growth aspirations, the Pune-based company bought a majority stake in German wind turbine maker REpower for 1.3 billion in an intense, five-month long bidding war with French energy giant Areva in May 2007. By 2011, Tanti had bought 100% in REpower by spending another 500 million.

Much of this acquisition was funded by money raised through foreign currency convertible bonds (FCCBs). Now it's payback time, with the first tranche of FCCBs set to mature next month. And REpower - the biggest reason for his high leverage today - may be his best bet to get out of the debt trap he finds himself in.
"REpower is the reason why Suzlon raised money through FCCBs," says Raj Kothari, a London-based bond trader at Sun Global Investments, which owns Suzlon bonds. "And REpower holds the key to resolve Suzlon's repayment problems," he adds.

/photo.cms?msid=13104961

Suzlon needs $360 million in June and $206 million in October, totaling $566 million (Rs 2,995 crore) for redemption of FCCBs issued five years ago. Suzlon's high leverage-consolidated debt is double of equity-and repeated losses have left little room to organise the large amounts of cash needed to redeem the bonds. On the other hand, REpower is sitting pretty on cash of $247 million, a solid brand equity and a better operating performance.

In a report dated 26 March, HSBC notes that there are covenants that limit free transfer of cash from REpower to parent Suzlon, but anticipates that the German turbine maker could provide Rs 610 crore - Rs 110 crore as dividend and the balance as advance. This will be precious for Suzlon in his quest to repay FCCB holders, especially after the US customer Edison Mission Energy said it won't pay before February next year. Suzlon was hoping to recover $211 million from Edison by June, when the first tranche of FCCB redemption is due, says Ankush Mahajan, research analyst with Mumbai-based KR Choksey. The delay can prove disastrous, and REpower may be the only immediate lifeline for Suzlon.

The Suzlon management is reluctant to divulge details on the role REpower can play, perhaps due to the covenants imposed by the German firm's lenders. "Suzlon and REpower are now parts of one company; we have to balance interests of many stakeholders, and will ensure that we will take the best decisions in the interest of the Suzlon group," says Suzlon CFO Kirti Vagadia when asked what role REpower could play to help Suzlon repay FCCB holders.

Suzlon is weighing various options to repay the FCCB holders, says Vagadia, who took over as CFO in March from Robin Banerjee. These include talking to a few bulge bracket investment banks for funding; and also to Indian banks for support as a backstop, added Vagadia in a written reply to ET's queries.

"Suzlon continues to make progress on the sale of non-critical assets; we announced a sale for approximately $40 million just the other day. And the company is evaluating a high-yield bond instrument offering in the range of $300 million to $500 million," says the CFO.

Power India found that Suzlon Energy Ltd. (SEL) plans to raise as much as $500 million, including through a bond sale, to meet debt payments in June, its finance chief said.

India’s biggest wind turbine maker began talks with “large, international banks” four weeks ago about selling high-yield bonds, Chief Financial Officer Kirti Vagadia said today in a phone interview.

“All our overseas subsidiaries are practically unleveraged,” said Vagadia, who replaced former CFO Robin Banerjee last month. “We want to raise funds against those international assets.”

Suzlon owns Hamburg-based Repower Systems SE. Re-balancing debt across the group would help reduce interest payments, Vagadia said. In June, $358 million in foreign-currency convertible bonds mature. Suzlon isn’t renegotiating those with bondholders, he said.

The Pune, India-based company expects to complete the fresh fund-raising and to sell “non-critical assets” to meet obligations by June, Vagadia said. It also expects to see strong cash flows by then as 65 percent of orders tend to come in the first half of the year, he said.

Vagadia, when asked, said selling Repower or listing a stake wasn’t an option.

“I’ve said we want to sell non-critical assets,” Vagadia said. “By definition, Repower is our most critical asset. I think that answers the question.”

Suzlon shares reversed some of its earlier losses before closing down 4.3 percent at 21.35 rupees.

Suzlon completed its buyout of Repower in October 2011 after gradually increasing its stake over four years. Re-listing it makes no sense at this point, Vagadia said.

Suzlon to develop 3,000 MW of wind energy in Andra Pradesh…

image According to reports, India’s largest wind turbine manufacturer Suzlon Energy will develop 3,000 MW in Andra Pradesh by 2016 with a potential investment of Rs.18,000 crore.

The company signed a memorandum of understanding (MoU) with the state government during last week’s Partnership Summit 2012 in Hyderabad.

Andra Pradesh is one of the fastest emerging wind energy destinations in the country.

As per the MoU, the state government will help Suzlon in obtaining mandatory permissions, registrations, approvals and clearances necessary for developing wind-based energy farms, the company said in a filing to the Bombay Stock Exchange (BSE) Monday.

“Suzlon, in turn, will play the role of developer and facilitate the channelisation of investments into the state through its customers investing in wind energy,” it said.

The MoU covers development of new capacity in wind farms across the state, with developments planned in the districts of Tallimadugula, Alankarayanipeta, Gandikota and other parts of Andra Pradesh.
